The Agency agrees to provide the services described in the project proposal or contract. This includes web design, development, SEO, and other related services.
3. Project Specifications
- Deliverables: The specific deliverables and milestones will be outlined in the project proposal.
- Revisions: The Client is entitled to a specified number of revisions as detailed in the project proposal. Additional revisions may incur extra charges.
4. Payment Terms
- Fees: The Client agrees to pay the fees outlined in the project proposal or contract.
- Payment Schedule: Payments will be made according to the schedule specified in the project proposal or contract.
- Late Payments: Late payments may incur additional charges and can delay project timelines.
5. Client Responsibilities
- Content: The Client is responsible for providing all necessary content, including text, images, and other materials, in a timely manner.
- Feedback: The Client agrees to provide timely feedback to ensure the project stays on schedule.
6. Intellectual Property
- Ownership of Custom-Made Website: Upon full payment, the Client will own the rights to the final deliverables. The Agency retains the right to use the work in its portfolio and marketing materials.
- Quick Starts/ Web Fusion: The client acknowledges that all intellectual property developed or provided as part of these services shall remain the property of the provider. The client may purchase the product/website outright from the service provider at a price determined at that time.
- Licenses: The Client is responsible for securing any necessary licenses for third-party materials used in the project.
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the project.
8. Termination
- By Client: The Client may terminate the project at any time with written notice. Fees for work completed up to the date of termination will be due.
- By Agency: The Agency may terminate the project if the Client fails to meet their responsibilities or make payments.
9. Warranties and Liability
- Warranty: The Agency warrants that the services provided will be of professional quality. However, the Agency does not guarantee specific results or outcomes.
- Liability: The Agency’s liability is limited to the amount paid by the Client for the services.
10. Dispute Resolution
Any disputes arising from these terms will be resolved through mediation or arbitration, as agreed upon by both parties.
11. Governing Law
These terms shall be governed by and construed by the laws of Phoenix, Arizona
12. Changes to Terms
The Agency reserves the right to modify these terms at any time. The Client will be notified of any significant changes.
